1. General Terms
1.1. The relationship between the Buyer and Seller is governed by these purchase and sale terms, as well as the laws of the Republic of Latvia. These purchase and sale terms establish the rights and obligations of the parties (Buyer and Seller), the procedures for entering into purchase and sale agreements, conditions and procedures for the delivery and return of goods, as well as other rules related to the purchase and sale of goods in the online store www.villamode.lv.
1.2. The Seller, providing the content and services available on villamode.lv, is:

1.3. The Buyer is a capable natural or legal person who makes purchases on villamode.lv or uses other services offered by villamode.lv.
1.4. If the Buyer wishes to purchase goods from villamode.lv, the Buyer must, before making the purchase, familiarize themselves with the Purchase and Sale Terms and confirm this familiarity before completing the transaction. Therefore, if the Buyer has purchased a product from villamode.lv, it is considered that the Buyer has read and agreed to the Purchase and Sale Terms.
1.5. Villa Mode reserves the right to unilaterally amend and/or supplement the Purchase and Sale Terms at any time. When shopping on villamode.lv, the Buyer is subject to the terms in force at the time of the purchase of the goods; therefore, the Buyer must familiarize themselves with the Purchase and Sale Terms with each purchase.
1.6. Villa Mode reserves the right to change the prices of products or set special prices for products. The products are sold to the Buyer at the prices in effect at the time of the purchase of the goods. Villa Mode delivers products only for paid orders.
1.7. Images published on the Villa Mode blog, social media (Instagram, Facebook, TikTok), and elsewhere are the property of SIA "V.M.Ecom," and it is prohibited to republish them for commercial purposes unless there is a mutual agreement in place.
2. Data Processing and Protection
2.1. Shopping on villamode.lv is possible for both unregistered (without a profile) Buyers and registered (with their profile) Buyers. To register on villamode.lv, the Buyer must provide their name, surname, email address, and create a password. By registering on villamode.lv, the Buyer agrees to the processing of their personal data in accordance with the regulatory enactments and Villa Mode's data protection policy, to the extent to which the Buyer has provided personal data.
2.2. When making a purchase on villamode.lv, the Buyer is required to provide their name, surname, address, phone number, and email address. This information is necessary for the conclusion of a distance purchase and sale agreement with the Buyer and to facilitate communication with the Buyer, as well as the delivery of goods to the Buyer.
2.3. The Buyer is fully responsible for the accuracy of all the data provided when making a purchase on villamode.lv. If the Buyer has provided inaccurate or incorrect data or has not updated them in the event of changes to personal data, Villa Mode is not responsible for data inaccuracies and their consequences. The Buyer has the right to correct, delete, or supplement personal data at any time or request Villa Mode to correct, delete, or supplement their personal data.
2.4. When registering on villamode.lv, the Buyer has individual registration data (email address and password). The Buyer is responsible for the security of their registration data and undertakes to store them and not to disclose them to third parties. If someone else uses the registration data, they are considered the Buyer. If the Buyer loses their registration data or suspects that a third party may have obtained them, the Buyer must immediately inform Villa Mode.
2.5. By agreeing to these Purchase and Sale Terms and the data protection policy, the Buyer agrees that notifications necessary for order, payment, and delivery information will be sent to the provided email address.
2.6. Villa Mode guarantees that the Buyer's data will only be used for communication regarding the purchase and for direct marketing purposes (if the Buyer has consented).
2.7. Villa Mode undertakes to ensure the confidentiality and protection of the personal data provided by the Buyer and undertakes not to disclose the Buyer's personal data to third parties, except to Villa Mode's partners who provide goods delivery to the Buyer or provide other order fulfillment-related services, as well as to state institutions in cases and on legal grounds specified in regulatory enactments.
2.8. At the time of delivery of goods (when choosing courier delivery), the recipient of the goods must present a personal identification document to establish their identity.

3. Conclusion of the Distance Purchase and Sale Agreement
3.1. The distance purchase and sale agreement between Villa Mode and the Buyer is considered concluded at the moment when the Buyer has selected the product (or products), placed it in the shopping cart, and clicked on the "Proceed to Payment" link.
3.2. The Buyer is obligated to pay the amount specified for the product (or products), as well as the cost of the selected delivery method (unless the purchase amount qualifies for free delivery). The price includes VAT.
3.3. Villa Mode only delivers goods for paid orders.
3.4. All distance purchase and sale agreements are recorded and stored in the Seller's database.
3.5. Villa Mode undertakes to deliver the products purchased/paid for by the Buyer to the location chosen by the Buyer upon ordering (through delivery partners). In a situation where, due to unforeseen circumstances, Villa Mode cannot provide delivery of the products purchased on the villamode.lv online store, Villa Mode undertakes to offer the Buyer a similar or equivalent product. If the Buyer does not agree to the offer, Villa Mode will refund the Buyer the amount paid for the unavailable product as soon as possible but no later than within 30 (thirty) calendar days from the moment the Buyer rejects the offered product.
4. Product Prices and Payment
4.1. The prices of products on the online store villamode.lv are indicated in euros. The price includes VAT, and the Seller is a registered VAT payer.
4.2. The Buyer can pay for the products at the time of purchase using one of the following payment methods:
- Direct bank-link payment through online banking;
- Using the PayPal payment system.
5. Product Delivery
5.1. The Buyer carefully selects and specifies the exact delivery method from the options provided.
5.2. The Seller delivers the products to the Buyer through an authorized representative (collaborative partner).
5.3. When choosing courier delivery, the Buyer commits to personally accept their ordered products from the courier. If the Buyer cannot personally accept the products, they must inform the Seller of another person who will receive their purchase. However, if the products are delivered based on the Buyer's provided address and other information, and the Buyer or the designated person cannot be reached, the Buyer is not entitled to make claims against the Seller for delayed delivery and other complications.
5.4. The delivery fee is to be covered by the Buyer. It includes VAT.
5.5. Shipping rates vary depending on the destination country. Villa Mode reserves the right to change delivery fees at any time. The delivery fee is charged per order. Please read the full description of delivery fees here.
5.6. The Seller undertakes to ensure the fastest possible delivery of products, as far as possible, but no later than within the delivery period specified by the Seller. The delivery time is 1–5 working days from the moment payment for the purchase is received.
5.7. If the delivery of products to the Buyer is not possible due to the Buyer's fault or circumstances dependent on the Buyer (incorrect address, the Buyer is not present at the specified address, cannot access the specified address, etc.), the products will not be resent, and the order will be canceled. In such cases, the Seller will refund the Buyer only for the product, and the delivery fee will not be refunded.
5.8. Upon receiving the products, the Buyer must inspect the condition of the shipment (possible external packaging damage) together with the Seller's authorized representative (collaborative partner/courier) and sign the invoice, receipt, or any other document confirming the delivery and acceptance of the products. A Buyer-signed invoice, receipt, or any other document confirming the delivery and acceptance of the package is considered to be the delivery of products in good condition. In all cases where it is found that the external packaging is torn, wet, or otherwise damaged from the outside, the Buyer must note this (write a comment) on the delivery confirmation or create a separate report on such defects. The Buyer must do this in the presence of the delivery person. The Seller is not responsible for such product defects that were apparent at the time of delivery but were not indicated in the product delivery confirmation. Villa Mode attaches delivery-related documents to the product shipment.
6. Product Quality
6.1. The properties of all products sold on villamode.lv are specified in the product description for each product. The Seller ensures that the main properties of the products sold on villamode.lv correspond to the actual properties of the products and the terms of the contract. Criteria for compliance with the terms of the contract are specified in the Consumer Rights Protection Law. The Seller is not responsible for any discrepancies in the color, shape, or other parameters of the products displayed on villamode.lv, which may vary depending on the Buyer's monitor settings or other similar factors.
6.2. The legal guarantee provided for by the applicable laws is applicable to products purchased on villamode.lv.
6.3. If, after receiving the product, the Buyer (in terms of the Consumer Rights Protection Law, a physical person purchasing a product for non-business or non-professional purposes) finds that the product does not comply with the terms of the contract, then, in accordance with the Consumer Rights Protection Law, within two years from the date of receiving the product, the Buyer has the right to submit a claim to Villa Mode regarding the non-conformity of the product to the contract. The Buyer must submit the claim to Villa Mode within two months from the day they discovered the non-conformity of the product.
6.4. After the expiration of the term specified in point 6.3, the Buyer has the right to submit a claim regarding the non-conformity of the product to the terms of the contract, taking into account the warranty period.
6.5. In the event of products not conforming to the terms of the contract, the Buyer is entitled to request one of the following actions:
- Rectify the non-conformity of the product to the terms of the contract;
- Exchange the product for one that conforms to the terms of the contract;
- Reduce the price of the product;
- Terminate the contract and refund the Buyer the amount paid for the product. First, the Buyer has the right to request Villa Mode to rectify the non-conformity of the product to the terms of the contract or to exchange it for a product that conforms to the terms of the contract without compensation, except in cases where it is impossible or unreasonable (unreasonable if it causes Villa Mode costs that are not proportionate to the other alternatives listed in point 6.5, taking into account the value of the product without the non-conformity, the significance of the non-conformity, and whether the use of the alternative means does not cause significant inconvenience to the consumer). If it is not possible to rectify the non-conformity of the product to the terms of the contract or exchange it for a product that conforms to the terms of the contract, the Buyer is entitled to request Villa Mode to reduce the price of the product or to terminate the contract and refund the amount paid for the product. When reducing the price or terminating the contract and refunding the amount paid, Villa Mode may take into account the wear and tear of the product or the benefit the Buyer has derived from using the product, as agreed upon by the contracting parties. In the case of minor non-conformities with the terms of the contract (those that do not significantly affect the basic function of the product, quality of performance, or use characteristics and can be rectified without visually noticeable changes to the external appearance of the product) and those that cannot significantly affect the Buyer's ability to use the product, the Buyer cannot request Villa Mode to terminate the contract and refund the amount paid for the product.
6.6. The Buyer can submit objections and requests regarding the non-conformity of the product to the terms of the contract to Villa Mode in writing by sending a claim to Villa Mode at the address Jēkaba iela 6, Cēsis, LV-4101, or by using the online dispute resolution platform.
7. Right of Withdrawal and Return of Goods
7.1. The Buyer can exercise the right of withdrawal under the following conditions:
- The returned product(s) must be in their original packaging, and the Buyer has not opened the packaging.
- The product must not be damaged.
- The product must not have been used or tested.
- The product must not have lost its appearance suitable for sale (unaltered labels, intact protective film, etc.) (this does not apply to products that were already damaged at the time of delivery, for which the Buyer raised objections upon receipt).
- The returned product must be in the same condition as it was at the time of receipt.
7.2. The Buyer is responsible for maintaining the quality and safety of the product during the exercise of the right of withdrawal. The Buyer is responsible for any reduction in the value of the product if it has been used in a manner incompatible with the principle of good faith. The products must be undamaged, have an appearance suitable for sale (intact and undamaged labels, unopened protective film, etc.), and be unused. The product must be returned in its original packaging, in the same configuration as it was received, along with the purchase document and any other product accessories that were attached to it at the time of receipt. This also applies to free gifts, if any, included in the purchase as part of Villa Mode's marketing offer. If the product is not complete, damaged, in poor condition, or not properly packaged, Villa Mode has the right to refuse the product and not refund the amount paid by the Buyer for the product.
7.3. If the Buyer is a consumer within the meaning of the Consumer Rights Protection Law (a physical person purchasing a product for purposes not related to their economic or professional activity), the Buyer (consumer), without providing any justification, may exercise the right of withdrawal. Following the conditions of the Cabinet of Ministers Regulation No. 255 of May 20, 2014, "Regulations on Distance Contracts," the consumer has the right to withdraw from the purchase agreement within 30 calendar days from the moment of receiving the product/product, by submitting a withdrawal application to Villa Mode.
7.4. To exercise the right of withdrawal, the Buyer sends a notice by email (to villamode@villamode.lv) specifying their request, the item being returned (product name), order number, and the bank account number to which the Buyer wishes to receive the refunded amount for the returned goods. Villa Mode immediately informs the Buyer upon receiving such a notice that it has been received, and both parties mutually agree on the method of returning the product to the Seller. It is considered that the Buyer has complied with the deadline for the exercise of the right of withdrawal (30 days) if the Buyer sends the withdrawal notice to Villa Mode before the end of the withdrawal period. In case of a dispute, the Buyer is obliged to prove the fact of the exercise of the right of withdrawal and the deadline.
7.5. After mutual agreement on the method of returning the product, the Buyer must return the product to the Seller without undue delay, but no later than within 30 days. This term is considered to be met if the Buyer returns the product before the end of the 30-day period. The Buyer is obliged to retain proof of the date of return of the goods. Villa Mode has the right to refuse to accept the product if the deadlines for returning the product have not been observed.
7.6. Villa Mode shall refund the Buyer the amount paid for the product, including the delivery costs paid for the product, in the same amount that was paid by the Buyer, without undue delay, but no later than within 14 days from the day Villa Mode receives the returned goods from the Buyer. The refunded amount shall be transferred to the bank account specified by the Buyer when exercising the right of withdrawal.
7.7. The direct costs of returning the goods may be borne by the Buyer or the Seller (by mutual agreement).
8. Liability
8.1. Villa Mode is exempt from any liability in all cases where losses occur due to the Buyer's actions contrary to the procedure specified in the Terms of Purchase and Sale of Goods.
8.2. In cases of losses, the guilty party shall compensate the other party for direct losses.
8.3. Villa Mode is not responsible for the insignificant characteristics of the products seen in the images on the online store (actual size, shape, shade nuances, etc.) not matching the actual product characteristics, which may be influenced by the Buyer's device monitor parameters, lighting, or any other external factors.
8.4. Villa Mode is not responsible for delays in performance, non-performance, or other forms of non-compliance that have arisen due to circumstances and obstacles beyond Villa Mode's reasonable control, including but not limited to strikes, government orders, warfare or national emergencies, terrorism threats or acts of terrorism, environmental or climate anomalies, non-performance by third parties, disruptions in internet connectivity, as well as hardware and software failures. In cases of such force majeure circumstances, Villa Mode will make efforts to rectify the resulting delays as soon as possible.
9. Dispute Resolution
9.1. In the event of questions or disputes arising, the Buyer contacts Villa Mode by phone or email. All disputes should, as far as possible, be resolved through negotiations. Buyers who are consumers under the Consumer Rights Protection Law (a natural person purchasing a product for purposes not related to their economic or professional activity) have the opportunity to exercise and protect their consumer rights in accordance with the Consumer Rights Protection Law and related regulations. If an agreement cannot be reached, the dispute shall be referred to court in accordance with the procedure provided for in the laws of the Republic of Latvia. According to the instructions provided by the Consumer Rights Protection Center, the out-of-court dispute resolution authority is the Consumer Rights Protection Center. Therefore, in the event of a dispute, consumers should submit their claim to the Consumer Rights Protection Center at 55 Brīvības iela, Riga, LV – 1010. More detailed information can be found here.
9.2. If a cosmetic product has had an adverse effect on health, the Buyer must submit a complaint to the State Health Inspectorate at 7 Klijānu iela, Riga, LV-1012. More detailed information can be found here.
